All services are subject to separate agreements, work orders, or invoices that may contain additional or different terms. In the event of a conflict, the terms of such separate documents govern.

If you submit reviews, testimonials, messages, or other content (“User Content”), you grant MTech a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content (in whole or in part) in any media for any lawful purpose, including marketing and promotion.

You represent and warrant that you own or have the necessary rights to submit the User Content and that it does not violate any rights of any third party or any law.

We may, but are not obligated to, monitor, edit, remove, or refuse to post any User Content at our sole discretion.

8. Intellectual Property

The Site and all materials on it, including text, graphics, logos, icons, images, audio/video clips, and software, are owned by MTech or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any part of the Site or its content without our prior written consent.

You may display and, where enabled, download or print portions of the Site content solely for your personal, non-commercial use, provided you do not remove proprietary notices.

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by MTech. We are not responsible for the content, policies, or practices of any third parties. Accessing third-party sites is at your own risk and subject to their terms and policies.

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MTECH OR OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID (IF ANY) TO USE THE SITE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.

These Terms and your use of the Site are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Monmouth County, New Jersey, for any dispute arising out of or relating to these Terms or the Site.

15. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and MTech regarding the Site and supersede prior or contemporaneous understandings.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver. Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Electronic Communications. By using the Site, you consent to receive communications from us electronically, and you agree that all terms and notices we provide electronically satisfy any legal requirement that such communications be in writing.

By providing your phone number, you agree to receive text messages from MTech Power Gen. Message and data rates may apply. Message frequency varies. Reply STOP to opt out. Reply HELP for help. Carriers are not liable for delayed or undelivered messages.
